Documentation Negotiator – Vice President
Institutional Securities Documentation is a global team consisting of approximately 160 people based in several locations (including New York, London, Hong Kong, Budapest, Mumbai and Tokyo).
The current opening is for a professional within the Tokyo based team with responsibility for documentation aspects of OTC/listed derivatives, financing and clearing transactions in the Japan region.
Job Responsibilities
Administer the negotiation lifecycle of master derivatives agreements with Morgan Stanley’s Japan based institutional /other types of counterparties. The documentation includes the following and are subject to either English laws or Japanese laws:
ISDA documents - ISDA Master Agreements and any related credit support documents, including VM and IM CSAs, custodian arrangement agreements related to IM, counterparty guarantees etc
financing transaction documentation, including GMSLA and Japanese stock lending, JSDA repo/gensaki agreements
clearing agreements for OTC and listed derivatives
other trading documentation including Clear Derivatives Execution Agreement, Electronic Transactions Agreement and any ancillary documentation
remediation /amendments of aforesaid agreements in order to comply with regulatory requirements and updates from time to time
Review and analyze constitutional documentation of counterparties and/or legal opinions issued by external counsels to verify counterparties’ legal capacity and authority capabilities in entering into the intended derivative transactions with Morgan Stanley
Collaborate with internal stakeholders to obtain approvals on MS deviated terms identified in negotiable agreements, ability to stipulate and explain in writing implication of deviated terms for internal stakeholders making informed decisions
Address on business unit’s queries from documentation perspectives,
Participate in globally or regionally led projects from documentation perspectives,
Responsible for administering and facilitating the agreement execution process; maintain and update client’s contract database/systems; attend to day-to-day coordination among internal procurement and legal teams with respect to such contracts; and perform due diligence to ensure contract terms and conditions as well as information of the parties is reflected in the client’s contract database/systems
Develop and maintain client relationships by liaising with other infrastructure groups of the firm (eg, Legal, Compliance Risk Management, Credit, Operations, Tax etc) throughout the negotiation process, including analyzing and presenting negotiation issues to relevant stakeholders.
Actively participate in industry working group calls.
Actively participate in global team projects on initiatives such as IT, risk management, system development and regulatory-driven projects.
Assist in the development of policies, procedures and systems.
Skills Required
Full professional fluency in Japanese and business level English (both oral and written)
Excellent oral and written communication skills to work with local / global / internal / external parties
Excellent PC skills including but not limited to Microsoft Outlook, Word, Excel etc.
(NB – usage of MS specific systems is expected)
Ability to work in a team as a good team player.
General experience in managing derivatives and/or financing transactions
Experience with ISDA or any other type of documentation is preferable but is not a must
Solid quantitative skills and strong interest in business, economics and law.
Willingness and ability to provide quality service to the Firm's clients and to promote and enhance the Morgan Stanley franchise.
Willingness to work in dynamic trading floor environment and the ability to excel under pressure.
Willingness to take on new challenges and work towards moving target
Flexibility in adapting to the team’s priorities and work towards goals as a team
Organized, pro-active, ability to multi-task and work efficiently, detail-oriented and self-sufficient.
