Legal, AWM Private Legal, Vice President, Tokyo

We are looking for a Japan-qualified attorney (bengoshi) to provide legal support to the Asset Wealth Management (Private) Division of Goldman Sachs in Tokyo, Japan (AWM Private). Candidates should have substantive experience with domestic and international corporate transactions and/or Banking & Finance experience. Structuring and Fundraising experience will also be highly regarded.

OVERVIEW

The AWM Private business in Tokyo is part of the global AWM Private Division that invests primarily third-party capital across all asset classes in the private sector (non-listed sector). More specifically, the AWM Private business invests in asset classes ranging from Real Estate, Equity, Credit and Infrastructure (solar, data centers, renewable energy projects etc).

Members of the AWM Private Legal team are involved in virtually every aspect of the business ranging from fundraising initiatives (global and local), structuring, transaction execution and asset management. AWM Private Legal provides legal, policy, reputational, and commercial advice and transactional expertise to protect the firm and ensure high-quality, value-added execution of transactions.

The role of AWM Private Legal is dynamic, has evolved over time and is expected to continue to evolve in response to the changing needs of Goldman Sachs’s many businesses.

YOUR IMPACT AND RESPONSIBILITIES

  • AWM Legal acts as an internal legal advisor to the AWM Private Division on all matters, including matters outside the transaction execution context. The judgment and experience of AWM Private Legal members is highly valued, particularly in weighing legal, policy, reputational and commercial considerations.
  • AWM Private Legal members are frequently called upon to provide advice and answer questions or to become involved in resolving issues or problems that arise, often in difficult situations involving extreme time pressure and client sensitivity
  • Members of AWM Private Legal work on a broad range of matters, including all types of real estate, equity and credit investments eg real estate acquisitions (residential and office buildings, development sites, hotels, student accommodation), equity investments (take private transactions, listings, majority and minority stakes), structured credit transactions, infrastructure (data centers, solar assets, renewable energy).
  • AWM Private Legal also assists in reviewing and negotiating the terms of confidentiality agreements, reliance letters and various customary asset management agreements.
  • In each of these roles, members of AWM Private Legal work closely with bankers and other professionals in the different areas of the AWM Private Division including with other AWM Private Legal members from different offices.
  • AWM Private Legal members also work closely with clients, outside counsel and representatives of other investment banks and co-investors. The responsibilities of an AWM Private Legal team member vary depending on the transaction, but usually include advising on the structuring and execution of the transaction, assessing Firm legal and reputational risks, reviewing and negotiating documents, coordinating with outside counsel, identifying and resolving policy issues and procedural questions and resolving legal issues that arise during the course of a transaction. AWM Private Legal does not replace outside counsel on transactions, although AWM Private Legal improves the efficient use of outside counsel through effective deal management.
  • Policy Development, Business Practices and Training — AWM Private members play a critical role in responding to regulatory changes and advising on business practices, policy development and implementation, training, compliance/best practices initiatives and the development of standard procedures and documentation.
  • New Product Development — AWM Private Legal assists in developing new products and transactional structures by advising on applicable law, assessing legal and regulatory risks, raising and resolving relevant legal and policy issues, assisting in coordinating appropriate areas within Goldman Sachs and acting as liaison with outside counsel and regulatory bodies.

QUALIFICATIONS

  • Japan-qualified attorney (bengoshi) with 5 – 12 years PQE.
  • Candidates will need to demonstrate a strong grounding in Corporate Finance law and/or Banking & Finance law. Structuring and Fundraising experience will also be highly regarded.
  • Relevant post-qualification experience either with a reputable law firm or as in-house counsel.
  • Very strong English language capabilities.
