Summary:

Genesys is seeking a commercially minded, Japan-qualified Corporate Counsel to support Genesys Cloud Services KK and its Japan business as part of the APAC Commercial Legal team. The role sits at the intersection of cloud-based customer experience technology, SaaS subscriptions, AI-powered experience orchestration, data privacy, enterprise sales, and partner-led go-to-market strategy.

In this Counsel Coucnsel role, you will support complex direct and indirect transactions across Japan and work closely with Sales, Partner Sales, Deal Desk, Privacy, Security, and regional and global Legal stakeholders to enable revenue while protecting Genesys' legal, commercial, regulatory, and operational position.

The successful candidate will be a trusted business partner who combines practical judgment, strong contracting discipline, and the confidence to support growth while maintaining scalable contracting standards, consistent global processes, and appropriate escalation discipline.

Key Responsibilities:

The primary responsibilities for this role include, but are not limited to:

· Lead the drafting, review, negotiation, and closure of commercial technology agreements in Japanese and English, including cloud subscription agreements, and AI solution terms, reseller and partner agreements, and system integrator arrangements, alliance agreements, NDAs, amendments, statements of work, RFP responses, assignment and novation agreements, MOUs, and other customer and partner-related documents.

· Provide senior-level, practical legal advice to Japan Sales, Partner Sales, Channel, and other internal stakeholders, balancing revenue objectives, customer and partner requirements, legal risk, operational scalability, and consistency with Genesys' global contracting positions.

· Support direct and indirect transactions, including partner-led deals, resale models, flow-down terms, end-customer terms, partner obligations, and related escalation points.

· Exercise independent judgment to identify legal, commercial, regulatory, and operational risks, propose pragmatic solutions, and escalate appropriately to APAC Legal, Privacy, Security, Deal Desk, or other stakeholders.

· Apply and improve Genesys templates, playbooks, fallback positions, and contracting standards to reduce unnecessary customization and support a scalable Japan business.

· Partner cross-functionally with Sales, Partner Sales, Deal Desk, Privacy, Security, Finance, Procurement, and Operations to resolve contract issues, improve deal velocity, and help stakeholders understand legal, compliance, and governance requirements.

· Advise on data privacy, data security, cloud, SaaS, AI, and technology-related contracting issues, including legal and regulatory considerations that affect enterprise cloud services, AI-enabled customer experience solutions, and cross-border transactions in Japan.

· Identify recurring issues in Japan contracting and partner sales motions, then develop guidance, training, templates, process improvements, and self-service tools to improve consistency and reduce avoidable legal friction.

· Manage routine through complex commercial legal work in-house, helping reduce unnecessary outside counsel spend while coordinating with external counsel where specialist Japan law advice is required.

· Stay current on legal and regulatory developments relevant to technology transactions, data privacy, cybersecurity, AI governance, cloud services, partner sales, and commercial contracting in Japan.

· Provide guidance, coaching, and practical support to more junior team members or business stakeholders, including on contracting discipline, escalation judgment, and negotiation strategy.

· Ad hoc responsibilities as directed by management.

Qualifications:

· Qualified to practice law in Japan and in good standing, including registration with the Japan Federation of Bar Associations where required.

· Approximately 6+ years of post-qualification legal experience, ideally gained in a combination of law firm and in-house roles, with meaningful experience supporting technology, SaaS, cloud, AI, telecommunications, customer experience, or enterprise services businesses.

· Strong commercial contracting experience, including drafting and negotiating complex customer, partner, reseller, distributor, SaaS subscription, cloud services, AI-enabled solutions, and related technology agreements.

· Demonstrated ability to understand, support, and negotiate partner sales and indirect deal structures, including transactions involving resellers, distributors, system integrators, alliance partners, channel programs, flow-down obligations, and end-customer considerations.

· Strong Japanese language capability is required. Professional-level English proficiency is strongly preferred; fluency is not required, but the successful candidate must be able to work effectively with a native English-speaking hiring manager and regional and global stakeholders, review contracts, and communicate legal and commercial positions in English.

· Working knowledge of data privacy, data security, and technology-related regulatory issues, with Japan privacy experience, including APPI-related contracting considerations, strongly preferred.

· Commercial, pragmatic, and business-oriented, with a genuine desire to understand how the business operates and to enable sales outcomes while managing risk.

· Sound judgment and senior-level escalation discipline, including the ability to distinguish between issues that can be resolved within approved positions and issues requiring regional or global input.

· Confident communicator with the ability to influence senior stakeholders, explain risk clearly, and maintain appropriate contracting discipline where non-standard requests would undermine scale, consistency, governance, or global operating processes.

· Flexible, creative, and resilient, with the ability to manage competing priorities and complex negotiations in a demanding, fast-paced environment.

· Excellent drafting discipline, attention to detail, and ability to produce clear, practical, and actionable legal advice.

· Collaborative and team-oriented.
